Welcome to Skyexim. These Terms and Conditions ("Terms") govern your use of our services and the purchase of agricultural products for export. By engaging with Skyexim, you agree to be bound by these Terms.
Please read these Terms carefully before placing an order. If you do not agree with any part of these Terms, please do not use our services.
1. General Terms
1.1. Skyexim ("Company," "we," "us," or "our") provides agricultural export services including fresh fruits, vegetables, dehydrated vegetables, and spices from India to international markets.
1.2. These Terms apply to all customers, buyers, importers, and users ("you" or "Customer") who purchase products or engage our services.
1.3. We reserve the right to modify these Terms at any time. Continued use of our services constitutes acceptance of modified Terms.
2. Product Quality & Specifications
2.1. All products meet international quality standards including APEDA (Agricultural and Processed Food Products Export Development Authority) and FSSAI (Food Safety and Standards Authority of India) certifications.
2.2. Products are sourced from certified growers and processed in facilities compliant with international food safety standards.
2.3. Specifications including variety, grade, size, packaging, and labeling will be as per the agreed purchase order or proforma invoice.
2.4. Natural variations in agricultural products are inherent. We guarantee products meet the specifications agreed upon within acceptable industry tolerance limits.
3. Product Category-Specific Terms
Our export products are categorized into four main segments, each with specific quality standards, packaging requirements, and handling protocols:
3.1 Fresh Fruits
Our fresh fruit exports include mangoes, pomegranates, bananas, grapes, apples, and seasonal tropical fruits. All fruits comply with the following standards:
Quality Grading: Products graded as per APEDA standards (Grade A, B, or C) based on size, color, ripeness, sugar content (Brix levels), and visual appearance
Ripeness Standards: Fruits harvested at optimal maturity levels suitable for international transport and destination market requirements
Cold Chain Requirements: Maintained at 2-8°C throughout transport with reefer containers equipped with temperature monitoring systems
Packaging: Food-grade corrugated boxes with ventilation, cushioning materials, and moisture-resistant liners. Individual fruit wrapping for premium grades
Certifications: Phytosanitary certificates, pesticide residue test reports (compliant with EU MRL, USFDA, and importing country standards)
3.2 Fresh Vegetables
Our vegetable exports include onions, potatoes, tomatoes, okra, drumstick, bitter gourd, and leafy vegetables. Quality parameters include:
Quality Parameters: Size uniformity, color consistency, firmness, absence of bruising, mechanical damage, or pest infestation
Grading Standards: APEDA and FSSAI compliant grading based on size (mm), weight (grams), and visual quality
Temperature Control: Leafy vegetables: 0-2°C, Root vegetables: 4-8°C, Others: 8-12°C as per product-specific requirements
Packaging: Ventilated cartons with PE liners, mesh bags for bulb vegetables, specialized packaging for delicate varieties
Washing & Treatment: Pre-cooling, chlorinated water washing, and anti-sprouting treatment (for applicable products) as per international standards
3.3 Spices
We export whole and ground spices including turmeric, cumin, coriander, cardamom, black pepper, red chili, ginger, and specialty Indian spice blends:
Moisture Content: Strictly controlled at 8-12% (varies by spice type) to prevent microbial growth and ensure extended shelf life
Purity Standards: Free from foreign matter, adulterants, artificial colors, and extraneous materials as per Spice Board of India and ISO standards
Quality Testing: Laboratory-tested for volatile oil content, curcumin content (turmeric), piperine (pepper), capsaicin (chili), and microbial load
Packaging: Food-grade multilayer laminated pouches (BOPP/Metalized/PE), vacuum-sealed for aroma retention, available in 50g, 100g, 500g, 1kg, and bulk packing (10kg, 25kg)
Storage Requirements: Cool, dry conditions (below 25°C, <65% relative humidity), away from direct sunlight
Certifications: Spice Board certification, FSSAI license, organic certifications (where applicable), pesticide-free certificates, aflatoxin test reports
Sterilization: Steam sterilization or irradiation (as per customer requirement) to meet importing country phytosanitary standards
3.4 Dehydrated Vegetables
Our dehydrated vegetable range includes onion (flakes, powder, minced), garlic (flakes, powder, granules), tomato powder, carrot flakes, beetroot powder, and mixed vegetable flakes:
Moisture Content: Maximum 5-8% to ensure long shelf life and prevent caking or microbial growth
Rehydration Ratio: 1:3 to 1:6 (product:water) depending on vegetable type and cut size. Rehydration time: 10-20 minutes in warm water
Processing Method: Hot air dehydration, freeze-drying, or solar drying as per product specifications and customer requirements
Particle Size: Available in flakes (5-10mm), granules (1-3mm), powder (mesh 60-100), or customized sizes
Color Retention: Natural color preserved through controlled dehydration and use of food-grade antioxidants (where permitted)
Packaging: Triple-layer laminated aluminum pouches, nitrogen flushed to prevent oxidation, available in 250g, 500g, 1kg retail packs and 5kg, 10kg, 25kg bulk cartons
Quality Parameters: Free from foreign matter, insects, mold, off-odors, and compliant with heavy metal limits (lead, cadmium, arsenic)
Microbiological Standards: Total plate count, yeast & mold, E.coli, Salmonella testing as per international food safety standards
Applications: Suitable for food processing, ready-to-eat meals, soups, sauces, seasonings, and instant food products
Note: All product categories comply with APEDA, FSSAI, and importing country regulations. Detailed specifications, lab reports, and samples available upon request.
4. Pricing & Payment Terms
4.1. All prices are quoted in US Dollars (USD) or as mutually agreed currency, FOB (Free on Board) Indian port unless otherwise specified.
4.2. Payment terms are as follows:
30% advance payment with purchase order
70% balance against shipping documents or Letter of Credit (L/C)
For established customers: negotiable payment terms subject to credit approval
4.3. Prices are subject to change based on market conditions, currency fluctuations, and seasonal availability.
4.4. Late payments may incur interest charges at the rate of 2% per month or the maximum permitted by law, whichever is less.
5. Order Processing & Lead Time
5.1. Orders are confirmed upon receipt of advance payment and signed purchase order.
5.2. Standard lead time is 15-30 days from order confirmation, varying by product and season.
5.3. For seasonal products, availability and lead times may vary. We will communicate any delays promptly.
5.4. Minimum order quantities (MOQ) apply and vary by product. Please contact us for specific MOQ details.
6. Shipping & Delivery
6.1. Shipping is typically FOB (Free on Board) Indian port. CFR (Cost and Freight) or CIF (Cost, Insurance, and Freight) terms available upon request.
6.2. Risk of loss or damage transfers to the Customer upon loading onto the vessel for FOB shipments.
6.3. We use reefer containers and temperature-controlled transport to maintain product quality during transit.
6.4. Delays due to port congestion, customs clearance, weather conditions, or other circumstances beyond our control are not our responsibility.
7. Export Documentation
7.1. We provide all necessary export documents including:
Commercial Invoice
Packing List
Bill of Lading / Airway Bill
Certificate of Origin
Phytosanitary Certificate
Quality / Health Certificate
Any other certificates as required by destination country
7.2. Customers are responsible for understanding and complying with import regulations of their destination country.
8. Quality Claims & Returns
8.1. Quality claims must be raised within 7 days of receipt of goods with supporting evidence (photographs, third-party inspection reports).
8.2. Valid quality claims will be resolved through replacement, credit note, or refund at our discretion.
8.3. Claims due to natural deterioration during transit beyond the shelf life are not accepted.
8.4. Return of perishable goods is generally not feasible due to the nature of agricultural products.
9. Cancellation Policy
9.1. Orders may be cancelled up to 7 days before the scheduled shipment date with mutual agreement.
9.2. Cancellations after procurement has begun may incur cancellation fees to cover sourcing and processing costs.
9.3. We reserve the right to cancel orders if products become unavailable due to crop failure, natural disasters, or other unforeseen circumstances.
10. Limitation of Liability
10.1. Our total liability for any claim arising from a transaction shall not exceed the invoice value of the specific shipment.
10.2. We are not liable for indirect, consequential, or incidental damages including loss of profits, business interruption, or loss of data.
10.3. Customers are advised to obtain appropriate insurance coverage for goods in transit.
11. Force Majeure
11.1. Neither party shall be liable for failure to perform obligations due to events beyond reasonable control including:
Natural disasters (floods, droughts, earthquakes, cyclones)
Government actions, export bans, or policy changes
War, terrorism, civil unrest, or pandemic
Transportation strikes or port closures
Crop failures or pest infestations
11.2. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.
12. Intellectual Property
12.1. All trademarks, logos, brand names, and proprietary information related to Skyexim are our exclusive property.
12.2. Customers may not use our intellectual property without prior written consent.
12.3. Product images and descriptions on our website are for reference only and may not be reproduced without permission.
13. Confidentiality
13.1. Both parties agree to keep confidential all business information, pricing, and trade secrets disclosed during the business relationship.
13.2. This obligation continues for 3 years after the termination of business relationship.
14. Dispute Resolution
14.1. Any disputes shall first be resolved through good faith negotiations between the parties.
14.2. If negotiations fail, disputes shall be resolved through arbitration under the rules of the Indian Council of Arbitration.
14.3. The arbitration shall be conducted in English language at Mumbai, India.
15. Governing Law & Jurisdiction
15.1. These Terms shall be governed by and construed in accordance with the laws of India.
15.2. The courts of Mumbai, India shall have exclusive jurisdiction over any disputes arising from these Terms.

Acknowledgment
By placing an order with Skyexim, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute the entire agreement between you and Skyexim regarding the purchase of products and supersede any prior agreements or understandings.
